Investment Policy
The Fund will primarily invest in units of a foreign mutual fund (the “Master Fund”), with an average investment exposure of not less than 80% of its net asset value (NAV) during an accounting year. The Master Fund designated for investment is the Wellington Climate Strategy Fund (the “Master Fund”), specifically its Class USD S Accumulating Unhedged share class denominated in U.S. Dollars (USD). The Master Fund is domiciled in Luxembourg, operates under the UCITS framework, and is established and managed by Wellington Management Company LLP.
The Master Fund seeks to generate long-term total returns in excess of the MSCI All Country World Index (MSCI ACWI) while contributing to environmental objectives related to both climate change mitigation and climate adaptation. Climate change mitigation focuses on addressing the causes of climate change and reducing its potential impacts, whereas climate adaptation aims to minimize adverse effects arising from climate change and enhance society’s ability to adapt to such changes. The Master Fund primarily achieves these objectives through investments in equity securities issued by companies worldwide.
The Master Fund adopts an active investment management approach, selecting portfolio companies based on fundamental research and an assessment of their long-term growth potential. Investment decisions incorporate evaluations of both sustainability outcomes and expected financial returns. The portfolio focuses on companies whose products, services, or capital investments contribute to carbon emissions reduction, improvements in energy and resource efficiency, and climate adaptation solutions. The Investment Manager continuously monitors and evaluates invested companies through both bottom-up fundamental analysis and top-down macroeconomic assessments.
The Master Fund may invest in derivatives for the purposes of efficient portfolio management and/or hedging, at the discretion of the Investment Manager.
The Management Company reserves the right to change the share class and/or the currency denomination of the underlying investment as deemed appropriate and beneficial to the Fund’s management and in line with its investment objectives. Such changes shall be considered approved by unitholders and will be implemented with due regard to protecting the interests of unitholders.
The remaining portion of the Fund’s assets may be invested both domestically and internationally in deposit-like instruments, deposits, debt securities, equity securities, hybrid securities, warrants, as well as other securities, assets, or alternative income-generating instruments as specified in the Fund’s prospectus and/or as permitted by the Securities and Exchange Commission of Thailand (SEC).
The Fund may also invest in derivatives for efficient portfolio management and/or for hedging foreign exchange risk, at the discretion of the Fund Manager. Hedging decisions will be based on prevailing market conditions and other relevant factors, including economic, political, monetary, and fiscal developments, in assessing currency trends.
If the Fund Manager anticipates that the U.S. Dollar (USD) will depreciate, the Fund may undertake foreign exchange hedging to a substantial extent. Conversely, if the USD is expected to appreciate, the Fund may reduce or refrain from hedging activities. However, where the Fund Manager determines that currency hedging would not be in the best interests of unitholders or could result in forgone benefits, the Fund may choose not to hedge foreign exchange exposure. Investors should note that hedging transactions may incur costs, which could adversely affect the Fund’s overall returns.
In addition, the Fund may invest in or hold:
Structured Notes (securities with embedded derivatives);
Non-Investment Grade debt instruments;
Unrated debt securities;
Unlisted securities;
Securities lending transactions;
Reverse repurchase agreements (Reverse Repos); and
Other permissible assets or income-generating arrangements as specified in the Fund’s prospectus and applicable SEC regulations.
Furthermore, the Fund may invest in units of mutual funds, property funds, Real Estate Investment Trusts (REITs), or infrastructure funds managed by the same asset management company, provided that such investments do not exceed 20% of the Fund’s NAV. In the case of property funds and infrastructure funds, investment may not exceed 20% of the total units outstanding of the underlying fund.
Such investments must comply with the Fund’s investment policy and the rules and conditions prescribed by the SEC. In addition, the underlying funds are prohibited from investing back into the Fund (circle investment) and from making further investments in other funds managed by the same asset management company (cascade investment).
